Welcome to Establishment Offerlash. These Terms and Conditions ("Terms") govern your access to and use of the Offerlash website, mobile application, and services (collectively, the "Services"). Please read these Terms carefully.

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you use our mobile application, you also agree to our End-User License Agreement (EULA). If you do not agree to all of these terms, you may not use our Services.

Marketing communications are delivered via mobile push notifications only, are opt-in, and can be opted out later through your device settings or in-app preferences. Service-related notifications may still be delivered where required for account operation or security.

1. Use of Our Services

Offerlash provides a platform for users to post, share, and discover coupons, deals, and promotional offers ("User Content"). You agree to use our Services only for lawful purposes and in accordance with these Terms.

Eligibility: You must be at least 18 years old to create an account or use our Services in your own name. If you are between 13 and 17 years old, you may only use the Services with the express consent and supervision of a parent or legal guardian who accepts these Terms on your behalf. We reserve the right to request proof of age and guardian consent and to disable accounts that do not meet these requirements.

2. User Responsibilities and Conduct

You are solely responsible for your conduct and any User Content you submit. You agree that you will not:

  • Post any information that is false, misleading, fraudulent, or inaccurate.
  • Violate any law, regulation, or third-party right, including intellectual property or privacy rights.
  • Harass, abuse, or harm another person.
  • Use any automated means (e.g., bots, scrapers) to access the Services for any purpose without our express written permission.
  • Interfere with or disrupt the integrity or performance of the Services.

We have the right, but not the obligation, to monitor and moderate User Content.

3. User-Generated Content

  • Your Responsibility: You are entirely responsible for the User Content you post. You represent and warrant that you own or have the necessary rights to post the content and that it does not violate these Terms.
  • License to Us: By posting User Content, you grant Offerlash a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, host, display, reproduce, modify, and distribute your User Content in connection with operating and providing the Services. You retain all of your rights to any User Content you submit.
  • Disclaimer: Offerlash does not endorse and is not responsible for any User Content. We do not guarantee the accuracy, validity, or timeliness of any offers posted by users. You rely on any User Content at your own risk.

4. Intellectual Property

All rights, title, and interest in and to the Services (excluding User Content) are and will remain the exclusive property of Offerlash and its licensors. This includes our brand, logo, code, and design. You may not use our intellectual property without our prior written consent.

5. Subscriptions and Payments

Certain features of the Service are available only through a paid subscription (a "Subscription" or "Marketer Plan"). By purchasing a Subscription, you agree to the following terms:

5.1. Subscription Plans

We offer monthly auto-renewable subscriptions that allow Marketers to submit and manage promotional coupons on our platform. Each Subscription plan includes:

  • A defined maximum number of active coupons you may list
  • Access to Marketer dashboard and analytics
  • The ability to include your own affiliate tracking links in your coupon submissions

Specific plan details, pricing, and capacity limits are displayed in the mobile application at the time of purchase.

5.2. Auto-Renewal and Billing

Your Subscription will automatically renew at the end of each billing period (monthly) unless you cancel before the renewal date. By purchasing a Subscription, you expressly acknowledge and agree that:

  • Automatic Charges: You authorize Offerlash and our third-party payment processors (Apple App Store, Google Play Store, or RevenueCat) to charge your selected payment method automatically on a recurring monthly basis.
  • Renewal Date: Your Subscription renews on the same day of each month as your original purchase date. If a month has fewer days than your original purchase date, the renewal will occur on the last day of that month.
  • Renewal Price: You will be charged the then-current Subscription price at the time of each renewal, which may differ from the price you originally paid (see Section 5.6 for price change notices).
  • Payment Method: It is your responsibility to maintain a valid payment method on file with the app store. If your payment method fails, your Subscription may be suspended or canceled.

5.3. Free Trials and Promotional Offers

From time to time, we may offer free trials or promotional pricing for new Subscriptions. The specific terms of any trial or promotion will be disclosed at the time of sign-up. Please note:

  • Trial Period: If you sign up for a free trial, you will not be charged during the trial period. However, your Subscription will automatically convert to a paid Subscription at the end of the trial unless you cancel before the trial period ends.
  • Canceling During Trial: To avoid being charged, you must cancel your Subscription at least 24 hours before the trial period expires.
  • One Trial Per User: Free trials are typically limited to one per user. Users who have previously subscribed may not be eligible for free trials.
  • Introductory Pricing: If you purchase a Subscription at a promotional or introductory price, the discount applies only to the initial billing period. Subsequent renewals will be charged at the standard Subscription price unless otherwise stated.

5.4. Payment Processing

All Subscription purchases are processed through the app store from which you downloaded the Offerlash mobile application:

  • iOS (Apple App Store): Purchases are processed by Apple Inc. and are subject to Apple's terms and conditions. Your payment method will be charged through your Apple ID account.
  • Android (Google Play Store): Purchases are processed by Google LLC and are subject to Google's terms and conditions. Your payment method will be charged through your Google Play account.
  • Third-Party Processor: We use RevenueCat as our subscription management platform. RevenueCat facilitates communication between our app and the app stores but does not store your payment information.

Important: Offerlash does not have access to or store your credit card or payment information. All payment data is handled exclusively by Apple, Google, or their authorized payment processors in accordance with their respective privacy policies and PCI-DSS standards.

5.5. Cancellation

You may cancel your Subscription at any time. However, the cancellation process and timing depend on which platform you used to purchase:

  • iOS Users: Go to Settings → [Your Name] → Subscriptions → Offerlash → Cancel Subscription. Alternatively, visit https://apps.apple.com/account/subscriptions
  • Android Users: Open the Google Play Store app → Menu → Subscriptions → Offerlash → Cancel Subscription. Alternatively, visit https://play.google.com/store/account/subscriptions

Cancellation Timing: When you cancel, your Subscription will remain active until the end of the current billing period. You will continue to have access to Subscription features until that date. No partial refunds are provided for the unused portion of a billing period (see Section 5.7 for our refund policy).

Effect of Cancellation: After your Subscription ends, you will lose access to Marketer-specific features, and any coupons you submitted may be removed or deactivated in accordance with the plan limits of a free account (if applicable).

5.6. Price Changes

We reserve the right to change our Subscription prices at any time. If we increase the price of your Subscription:

  • You will receive advance notice of the price change (typically at least 30 days before the new price takes effect, or as required by applicable law).
  • The new price will apply to your next billing cycle after the notice period.
  • If you do not agree to the price change, you may cancel your Subscription before the new price takes effect, and you will not be charged the increased amount.
  • Continuing to use the Subscription after the price change takes effect constitutes your acceptance of the new price.

Price decreases or promotional pricing will be applied automatically and do not require any action on your part.

5.7. Refunds

All Subscription purchases are final and non-refundable, except as required by applicable law or as determined by the app store's refund policy. Because Subscriptions are processed through Apple or Google, we do not have the ability to issue refunds directly. If you believe you are entitled to a refund, you must request it through the app store:

  • iOS Refund Requests: Visit https://reportaproblem.apple.com/ or contact Apple Support. Refunds are subject to Apple's refund policy and are granted at Apple's sole discretion.
  • Android Refund Requests: Visit https://support.google.com/googleplay/answer/2479637 or request a refund through the Google Play Store. Refunds are subject to Google's refund policy and time limits.

Exceptional Circumstances: If you experience technical issues that prevent you from using the Service and we are unable to resolve them, please contact us at care@offerlash.com. While we cannot guarantee a refund, we will work with you to find a fair resolution, which may include assistance in requesting a refund from the app store.

No Refunds for Cancellation: Canceling your Subscription does not entitle you to a refund for the current billing period. You will retain access to Subscription features until the end of the paid period.

5.8. Restoring Purchases

If you purchase a Subscription on one device and later install the Offerlash app on another device (or reinstall it on the same device), you can restore your Subscription at no additional cost:

  • Open the Offerlash app and navigate to Settings → Account → Restore Purchases
  • Ensure you are signed in with the same Apple ID or Google account that you used to make the original purchase
  • Your Subscription status will be verified with the app store and restored automatically

5.9. Subscription Modifications and Termination by Offerlash

We reserve the right to modify, suspend, or discontinue any Subscription plan (or any part or feature thereof) at any time with or without notice. If we discontinue a Subscription plan that you have purchased:

  • We will provide you with reasonable advance notice (typically at least 30 days).
  • We will not charge you for any renewal periods after the discontinuation date.
  • We may offer you the option to migrate to a different Subscription plan at a comparable price, but we are not obligated to do so.
  • You may be entitled to a pro-rated refund for any prepaid but unused portion of your Subscription, as determined by the app store's policies and applicable law.

We also reserve the right to terminate or suspend your Subscription immediately if you violate these Terms, including but not limited to submitting fraudulent content, engaging in abusive behavior, or violating our Referral Program Code of Conduct (Section 7).

5.10. Taxes

All Subscription prices are exclusive of applicable taxes unless otherwise stated. You are responsible for paying any applicable sales, use, value-added (VAT), goods and services (GST), or other taxes imposed by your jurisdiction. The app store (Apple or Google) will calculate and collect applicable taxes based on your billing address at the time of purchase.

5.11. No Guaranteed Uptime or Service Level

While we strive to provide reliable and uninterrupted access to the Service, your Subscription does not include any guarantee of uptime, availability, or service level. We are not liable for any loss of access due to maintenance, technical issues, or circumstances beyond our reasonable control. No refunds or credits will be provided for temporary service interruptions.

6. Affiliate Enrollment and Marketer Features

Any user with an active Subscription may choose to enroll in our affiliate program to become a "Marketer." Enrollment is optional and can be activated or deactivated at any time from within the App. When enrolled, Marketers gain the ability to submit User Content that includes their own personal affiliate tracking links from third-party programs (e.g., Amazon Associates, Admitad).

  • Marketer-Owned Commissions: When a user clicks on an affiliate link submitted by a Marketer and makes a purchase, any and all resulting commissions are earned directly by and are the sole property of that Marketer. Offerlash does not take any portion of commissions generated from a Marketer's affiliate links.
  • Marketer Responsibilities: Marketers are solely responsible for managing their affiliate links, ensuring they are accurate and functional, and for complying with all terms and conditions of their respective affiliate programs. Offerlash is not a party to the Marketer's agreement with any affiliate program.
  • Unenrollment: You may unenroll from the affiliate program at any time, provided there are no outstanding unpaid commissions. Unenrolling does not cancel your Subscription — you retain all other plan features.

7. Referral Program Code of Conduct

Our referral program is designed to reward users for sharing Offerlash with others. To ensure the program is used fairly and ethically, you agree to the following code of conduct:

  • No Spamming: You may not use your referral link in any way that constitutes spam, including sending unsolicited emails or messages to people you do not know.
  • No Misleading Claims: You may not make false or misleading claims about the potential earnings or benefits of the referral program.
  • Be Transparent: You should be transparent about your relationship with Offerlash when sharing your referral link.
  • No Self-Referrals: You may not use your referral link to create duplicate accounts for yourself.

We reserve the right to invalidate referrals and commissions, and to suspend or terminate your account, if we determine that you have violated this code of conduct. Our decision in such cases will be final.

7.1. Attribution, Personalization, and Commission Tracking

We provide referral attribution, including first-install attribution, personalization, and ranking features (including first-touch and last-touch signals) on a best-effort basis. Attribution may use deterministic matching where strong signals are available, and probabilistic matching where those signals are unavailable. Probabilistic matching is inferential and is not guaranteed to be 100% accurate or available in every case.

These features may be delayed, incomplete, or incorrect due to technical limitations, device settings, network conditions, or third-party systems. We may review, correct, or adjust attribution or ranking outcomes at our discretion, including after reconciliation with third-party attribution providers. Offerlash's referral tracking operates on a best-effort basis. In the event of any bugs, technical failures, or tracking inaccuracies, Offerlash shall not be held liable for any compensation, lost commissions, visibility, damages, or other benefits resulting from such errors. 8. Third-Party and Affiliate Links

Some coupons and offers on the Services may include affiliate tracking links to third-party retailer websites. When you follow such a link, you may be directed to a third-party site. We are not responsible for the content, products, or services of these third parties. Your use of third-party websites is at your own risk and subject to the terms and conditions of those sites. Please review our Affiliate Disclosure for more information.

9. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. OFFERLASH DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, NOR DO WE MAKE ANY WARRANTY AS TO THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT (INCLUDING USER CONTENT) AVAILABLE THROUGH THE SERVICES.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE SAUDI LAW (INCLUDING THE PDPL AND E-COMMERCE LAW), OFFERLASH, ITS AFFILIATES, DIRECTORS, AND EMPLOYEES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM (A) YOUR USE OF OR INABILITY TO USE THE SERVICES; (B) ANY CONTENT PROVIDED THROUGH THE SERVICES; OR (C) ANY CONDUCT OF ANY THIRD PARTY. NOTHING IN THESE TERMS LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, FOR FRAUD OR FRAUDULENT MISREPRESENTATION, OR FOR ANY OTHER LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

SUBJECT TO THE PRECEDING SENTENCE, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES IN ANY TWELVE (12) MONTH PERIOD WILL BE LIMITED TO THE GREATER OF (I) ONE THOUSAND FIVE HUNDRED SAUDI RIYALS (SAR 1,500) OR (II) THE AMOUNT YOU HAVE PAID US FOR THE SERVICES DURING THAT PERIOD. THESE LIMITATIONS APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. STATUTORY RIGHTS THAT CANNOT BE WAIVED OR LIMITED UNDER SAUDI LAW REMAIN UNAFFECTED.

11. Data Retention and Deletion Requests

When you delete your account, your personal information (profile, preferences, and associated data) is permanently deleted immediately from our active systems. All active sessions and API tokens are revoked at the time of deletion. Audit logs, financial records, and fraud-prevention data are retained separately where legally required (for example, audit logs for up to 24 months, referral sessions for up to 12 months if unlinked, and financial records for the periods mandated by Saudi law).

You may request deletion of your account and associated personal data at any time through the in-app deletion feature or by emailing care@offerlash.com. We may retain certain records where legally required (e.g., fraud prevention or tax compliance), but we will inform you when such retention applies.

12. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.

You may terminate your account by discontinuing your use of the Services or through any available account deletion feature.

13. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the Kingdom of Saudi Arabia, without regard to its conflict of law provisions.

You agree to submit to the personal and exclusive jurisdiction of the courts located in Riyadh, Kingdom of Saudi Arabia to resolve any dispute or claim arising from these Terms.

14. Changes to Terms

We reserve the right to modify these Terms at any time, at our sole discretion and without prior notice. If we make changes, we will update the "Last Updated" date of these Terms. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
